Terms and Conditions

1. The services offered by Marks & Clerk (M&C) as described on this website are solely intended to facilitate matching of sellers and buyers of registered trade marks. M&C shall in no circumstances be deemed to be a party to any transaction that is ultimately entered between any such sellers and buyers.

2. Any transaction for the sale of any registered trade mark shall be governed by a separate agreement to be entered into by the parties to any such sale and M&C shall not be a party to any such agreement by implication or otherwise.

3. M&C shall not be an agent, partner or form any fiduciary relationship with any entity wishing to use this service.

4. M&C specifically excludes any form of warranty as to a seller's title to ownership of any registered trade marks it wishes to sell. Any statutory warranties that may be implied against M&C are hereby excluded to the fullest extent permissible by law.

5. Any use of the services and supply of information to M&C that is to appear on the website must be made in accordance with good commercial practice. Any information provided to M&C must be accurate, made in good faith and in all other respects not be fraudulent, unlawful, offensive or contrary to any discrimination laws or regulations or breach any human rights.

6. The information contained on this website is taken from third party sources. While M&C will use all reasonable endeavours to ensure that any and all information is accurate, M&C accepts no responsibility whatsoever for any inaccuracies in the information taken from such sources or supplied to M&C by either sellers or buyers of any registered trade marks.

7. M&C shall accept no liability whatsoever for any use of the services offered provided that nothing in these terms and conditions shall in any way limit M&C's liability for any losses caused by its negligence leading to death or personal injury or fraudulent misrepresentation.

8. These terms and conditions are governed in accordance with English Law and the English Courts shall have exclusive jurisdiction in relation to any dispute arising out of the terms and conditions.
